§ 12. Indemnification.

Licensee covenants and agrees to indemnify, hold harmless and defend, at its own expense, City, its officers, agents, servants and employees, from and against any and all claims or suits for property loss or damage and/or personal injury, including death, to any and all persons, of whatsoever kind or character, whether real or asserted, arising out of or in connection with licensee's exercise of privileges granted herein, whether or not caused, in whole or in part, by negligence of officers, agents, servants, employees, contractors, sub-contractors, licensees or invitees of the City; and licensee hereby assumes all liability and responsibility of City, its officers, agents, servants and employees, for any and all claims or suits for property loss or damage and/or personal injury, including death, to any and all persons, of whatsoever kind or character, whether real or asserted, arising out of or in connection with licensee's exercise of privileges granted herein, whether or not caused, in whole or in part, by alleged negligence of officers, agents, servants, employees, contractors, sub-contractors, licensees or invitees of the City. Licensee likewise covenants and agrees to and does hereby indemnify and hold harmless City from and against any and all injury, damage or destruction of property of City arising out of or in connection with all acts or omissions of licensee, its officers, agents, employees, contractors, sub-contractors, licensees or invitees, or caused in whole or in part by alleged negligence of officers, agents, servants, employees, contractors, sub-contractors or licensees of City.
