§ 20-237. Corporations not to dissolve, merge, reorganize or withdraw from state until amount due is paid.

  • No corporation organized under the laws of the state shall hereafter be dissolved, or effect a merger, reorganization, or consolidation under any law of the state by the action of the stockholders or by the decree of any court until all taxes, fees, penalties and interest imposed on the corporation in accordance with provisions of this article shall have been paid in full. No foreign corporation which has obtained authority from this state to transact business in this city may surrender the authority and withdraw from this state until all tax levied by this article on or other charges imposed upon the corporation in accordance with the provisions of this article shall have been fully paid.
